Have you tried to do this in Safe mode? It could be that an Office app (Office toolbar?) is running when you are trying to remove it in Add/Remove.

The boot.ini is completely different with Vista. The only difference between a full and upgrade disk is that with the upgrade you need to have a qualifying OS CD to do the install. You do not need to have the old OS installed when installing the newer OS. It will ask for the older OS CD during the install. The upgrade CD will perform necessary repairs the same as the full version CD.
