yes i agree the settings are in your bios

in my bios

these are to power options that are disabled

suspend mode

hdd power down

soft off by powerbutton

RESUME--pci event

=====on lan

=====on ring

=====by alarm

usb kb wake-up froms3

disable these

you can always go and enable the ones you want

XX and Marty seem to be on the right track, but I read once about someone with the same problem and it ended up being a short in the power button on the case (I tend to remember the "unusual problems"!).

It could be a fluctuation in power causes the bios to think there was a power failure and it is set to restart on rusume from power failure.

Check the bios setting.

Unplug your LAN (ethernet) and Modem . There are wake on lan and wake on ring (modem) settings which can be disabled if you find one of them is the cause.

I would also say check your motherboad documentation to see if it has wake on keyboard. I had one that did and my siamese cat kept turning it on in the middle of the night.

It could be a short on the motherboard or a bad power supply too.
